Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Seikan Production Suite ("Seikan," "we," "us," or "our") governing your access to and use of the Seikan web application, including all associated features, content, and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

If you are accepting these Terms on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall refer to that entity.

2. Eligibility

You must be at least 13 years of age to use the Service. If you are between the ages of 13 and 18 (or the age of legal majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

By creating an account, you represent and warrant that: (a) you meet the minimum age requirement; (b) you have not been previously suspended or removed from the Service; and (c) your use of the Service does not violate any applicable law or regulation.

3. Description of Service

Seikan is a web-based film and video production management platform that provides tools including, but not limited to:

  • Screenplay writing and scene management
  • Shot list planning and storyboard creation
  • Production breakdown management
  • Budget tracking and financial planning
  • Call sheet generation and scheduling
  • Crew and talent contact management
  • Visual moodboard creation and reference storage
  • Gear and equipment inventory tracking
  • Multi-format project export (PDF, CSV)
  • Real-time collaboration and project sharing

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make commercially reasonable efforts to provide advance notice of material changes.

4. Account Registration and Security

To access the Service, you must register for an account by providing a valid email address and creating a password. You must confirm your email address before your account is fully activated. You agree to:

  • Provide accurate, current, and complete information during registration
  • Keep your account credentials confidential and not share them with third parties
  • Use a strong password of at least 8 characters
  • Notify us immediately at support@seikan.app if you suspect unauthorised access to your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that we reasonably believe are compromised, fraudulent, or in violation of these Terms.

5. Subscription Plans and Billing

5.1 Free Tier

Seikan offers a free tier with limited access to certain features. The free tier is subject to usage limits, including but not limited to a maximum of 20 shots per project and 100 MB of moodboard storage. We reserve the right to modify free tier limitations at any time with reasonable notice.

5.2 Pro Subscription

The Pro subscription ("Pro Plan") removes usage limitations and provides access to premium features including unlimited shots, unlimited storage, and clean export (without watermarks). Pro Plans are billed on a recurring basis (monthly or annually) at the rate displayed at the time of purchase.

5.3 Payment Processing

All payments are processed securely through Stripe, Inc. ("Stripe"). By subscribing to a paid plan, you agree to Stripe's Terms of Service and authorise recurring charges to your selected payment method. You are responsible for providing accurate and complete billing information.

5.4 Cancellation and Refunds

You may cancel your Pro subscription at any time through your account settings or the Stripe Customer Portal. Upon cancellation:

  • Your Pro access continues until the end of the current billing period
  • Your account reverts to the free tier at the end of the paid period
  • No prorated refunds are provided for partial billing periods
  • Your data is preserved but subject to free tier usage limits

5.5 Price Changes

We may change subscription prices with at least 30 days' advance notice via email. Price changes take effect at the start of your next billing cycle. Continued use after a price change constitutes acceptance of the new pricing.

5.6 Referral Program

Seikan offers a referral program that provides financial incentives to existing users who refer new users to the Service. By participating in the referral program, you acknowledge and agree to the following:

  • Each user receives a unique referral link. When a new user signs up through your referral link, you receive 7 bonus days of Pro access per signup.
  • Referred users receive an extended 14-day free trial (instead of the standard 7 days).
  • When a referred user converts to a paid Pro subscription, the referrer receives a 10% discount on their next billing cycle, up to a maximum cumulative discount of 50%.
  • Referral rewards are non-transferable, have no cash value, and may be modified or discontinued at any time with reasonable notice.

Disclosure requirement: In accordance with the FTC Endorsement Guides (16 CFR Part 255), if you share your referral link publicly (on social media, blogs, forums, or other public channels), you must clearly and conspicuously disclose that you receive a financial benefit when others sign up through your link. For example, include a statement such as "I may earn rewards if you sign up through this link."

We reserve the right to revoke referral rewards and suspend referral privileges if we detect abuse, fraud, self-referrals, or violation of the disclosure requirement.

6. User Content and Intellectual Property

6.1 Your Content

You retain full ownership of all content you create, upload, or store within Seikan, including but not limited to scripts, shot lists, breakdowns, budgets, call sheets, moodboard images, contact information, and all other project materials (collectively, "User Content").

6.2 License to Seikan

By using the Service, you grant Seikan a limited, non-exclusive, non-transferable, revocable licence to store, process, transmit, and display your User Content solely for the purpose of operating and providing the Service to you. This licence terminates when you delete your content or your account. We will not use your User Content for training machine learning models, advertising, or any purpose other than delivering the Service.

6.3 Our Intellectual Property

The Seikan application — including its source code, design, user interface, branding, logos, documentation, and all related materials — is the intellectual property of Seikan and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the Service without our prior written consent.

6.4 Feedback

If you provide suggestions, feature requests, or other feedback about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use, modify, and incorporate that feedback into the Service without obligation to you.

7. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable local, national, or international law or regulation
  • Infringe upon or misappropriate the intellectual property rights of any third party
  • Upload, store, or transmit any content that is unlawful, defamatory, obscene, or harmful
  • Upload or transmit viruses, malware, or any code designed to disrupt, damage, or limit the functionality of the Service
  • Attempt to gain unauthorised access to other users' accounts, data, or any part of the Service's infrastructure
  • Use automated means (bots, scrapers, crawlers) to access or extract data from the Service without our written permission
  • Interfere with or disrupt the integrity or performance of the Service or its underlying systems
  • Resell, sublicence, lease, or redistribute the Service to third parties
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Use the Service to send spam or unsolicited communications

We reserve the right to investigate and take appropriate action against anyone who violates this section, including removing content, suspending access, and reporting to law enforcement authorities.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.

You acknowledge that your User Content is stored on secure servers managed by Supabase and protected using Row Level Security (RLS) policies, ensuring that only authenticated users can access their own data. All data is transmitted over encrypted HTTPS connections.

9. Communications and Marketing

9.1 Transactional Communications

By creating an account, you agree to receive transactional emails necessary for the operation of the Service, including account verification, password resets, security alerts, billing receipts, and important service announcements. These communications cannot be opted out of while you maintain an active account.

9.2 Marketing Communications

During registration, you may opt in to receive marketing communications including product updates, feature announcements, tips, and promotional offers. You may unsubscribe from marketing communications at any time by clicking the "unsubscribe" link in any marketing email or by updating your preferences in your account settings. Opting out of marketing communications does not affect your receipt of transactional communications.

10. Third-Party Services

The Service integrates with third-party services to provide its functionality. Your use of these integrations is subject to the respective third party's terms:

  • Supabase — Authentication, database hosting, and real-time data synchronisation
  • Stripe — Payment processing and subscription management
  • Netlify — Application hosting and serverless function execution
  • Google Fonts — Web font delivery (Noto Serif JP, Inter, JetBrains Mono)

We are not responsible for the practices, content, or availability of third-party services. Links to or integrations with third-party services do not constitute endorsement.

11. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when practicable)
  • Emergency maintenance or security patches
  • Infrastructure failures or third-party outages beyond our control
  • Force majeure events

We are not liable for any loss, damage, or inconvenience caused by your inability to access the Service during any downtime period.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION
  • WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions may not apply to you to the extent prohibited by applicable law.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SEIKAN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
  • COST OF SUBSTITUTE SERVICES
  • DAMAGES ARISING FROM UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Seikan and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your User Content
  • Your violation of any rights of a third party
  • Your violation of any applicable law or regulation

15. Termination

15.1 Termination by You

You may terminate your account at any time by contacting us at support@seikan.app. Upon termination, your right to use the Service ceases immediately. If you have an active paid subscription, cancellation terms in Section 5.4 apply.

15.2 Termination by Us

We may suspend or terminate your account, with or without notice, if we reasonably believe that:

  • You have violated these Terms or the Acceptable Use Policy
  • Your account poses a security risk to the Service or other users
  • Your use of the Service may create liability for us
  • Your account has been inactive for an extended period (12 months or more)
  • We are required to do so by law

15.3 Effect of Termination

Upon termination, we will delete your account data within 30 days, unless retention is required by law. You may request an export of your data before account termination. Sections 6 (Intellectual Property), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), and 17 (Governing Law) survive termination.

16. Changes to These Terms

We may modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via email to the address associated with your account and by posting a notice within the Service. Non-material changes (clarifications, formatting) may take effect immediately.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

17.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in California, and the arbitrator's decision shall be final and binding.

17.3 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Seikan regarding the Service and supersede all prior agreements, representations, and understandings.

18.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Seikan.

18.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

18.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labour disputes, government actions, internet disruptions, or pandemic.
